Rechnelia is a software product operated by Mahdi Ghorban Pour - Digitexia (“Digitexia”). These Terms govern use of Rechnelia by the company, organization, or other legal entity that creates an account or subscribes to the service (the “Customer”). The person acting for the Customer confirms that they are authorized to bind it to these Terms.

2. Service
Rechnelia is a cloud-based e-invoicing service. It enables Customers to upload PDF or RTF invoices, review extracted invoice data, create invoices, manage customers and invoice versions, download XRechnung XML, and generate ZUGFeRD PDF documents. Available functions may depend on the Customer’s plan and product updates.
The Customer must review generated and extracted data before relying on or sending an invoice. Rechnelia assists with invoice preparation but does not provide tax, accounting, or legal advice and does not guarantee that a document satisfies every requirement applicable to the Customer or a recipient.
3. Accounts and Authorized Users
The Customer must provide accurate information, protect login credentials, keep account details current, and manage its users and permissions. An Authorized User is a person permitted by the Customer to use its workspace. The Customer is responsible for activity carried out through its accounts except to the extent caused by Digitexia.
4. Plans and Usage
Rechnelia offers a Free plan and may offer paid plans. Current prices, included conversion quantities, usage fees, limits, billing intervals, and features are shown on the pricing page, during checkout, or in an individual offer. A conversion is counted when invoice processing is successfully completed and saved. Failed conversions are not counted.
The Free plan does not require a paid Stripe subscription. Paid plans may combine a recurring base fee with usage-based conversion fees. The Customer must not manipulate accounts, workspaces, records, or usage reporting to avoid valid charges or limits.
5. Billing, Taxes, and Cancellation
Paid subscriptions and payment methods are handled through Stripe. The Customer authorizes Digitexia and Stripe to charge applicable recurring and usage-based fees. Fixed fees may be charged in advance and metered usage in arrears. Failed payments may be retried and may result in suspension.
Prices exclude applicable taxes unless expressly stated otherwise. The Customer is responsible for applicable VAT, withholding, or similar taxes. Material price changes will be communicated before they apply to an existing paid subscription.
The Customer may schedule cancellation according to the applicable plan. Unless stated otherwise, paid access continues until the end of the current billing period; already accrued fees remain payable.
6. Customer Data and Data Protection
The Customer retains its rights in data submitted to Rechnelia. The Customer instructs Digitexia to process that data as needed to provide, secure, maintain, support, and improve the service. Processing by Digitexia on the Customer’s behalf is governed by the Rechnelia Data Processing Agreement.
The Customer is responsible for having a lawful basis for invoice, customer, contact, and user data; providing required notices; responding to data-subject requests for data under its control; and ensuring uploaded content is lawful and accurate.
7. Acceptable Use
The Customer and Authorized Users must not use Rechnelia unlawfully; upload malicious or infringing content; attempt unauthorized access; disrupt the service; bypass security or plan restrictions; or reverse engineer, resell, or exploit the service except where applicable law expressly permits it.
8. Availability, Changes, and Third Parties
Digitexia aims to provide a reliable service but does not guarantee uninterrupted or error-free availability. Maintenance, security work, provider outages, or events outside reasonable control may affect access. Features may be improved, changed, or discontinued, provided that paid Customers receive reasonable notice of material reductions where practicable.
Rechnelia relies on service providers including IONOS for infrastructure and object storage, Cloudflare for Turnstile anti-abuse protection, Stripe for billing, and an SMTP provider for transactional email. Current processing details and subprocessors are described in the Privacy Policy and Data Processing Agreement.
9. Intellectual Property and Feedback
Rechnelia and its software, design, and documentation remain the property of Digitexia or its licensors. During an active account, the Customer receives a limited, non-exclusive, non-transferable right to use the service for its internal business purposes. Digitexia may use voluntarily supplied feedback without compensation or restriction.
10. Confidentiality
Each party shall protect the other party’s non-public business, technical, and operational information using reasonable care and use it only to perform the agreement, except where disclosure is required by law.
11. Suspension and Termination
Digitexia may suspend access where fees are overdue, these Terms are materially breached, security or other users are at risk, or suspension is legally required. Where practicable, Digitexia will provide notice and an opportunity to remedy the issue.
The Customer should export required data before access ends. Following termination, Digitexia may delete Customer Data after a reasonable period, subject to legal retention duties and the Data Processing Agreement.
12. Warranty and Liability
To the extent permitted by law, the service is provided without warranties beyond those expressly agreed. Digitexia is not liable for indirect or consequential loss, lost profit, lost revenue, or lost business opportunity. Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for intent, gross negligence, injury to life, body, or health, or under mandatory product-liability law.
13. Changes, Governing Law, and Contact
Digitexia may update these Terms to reflect legal, security, operational, or product changes. Material changes will be communicated appropriately and will not take effect retroactively unless required by law.
These Terms are governed by the laws of the Federal Republic of Germany, without prejudice to mandatory protections that apply to a Customer. Contact: kontakt@rechnelia.de.
